These Terms of Use ("Terms") govern Your access to and use of the website www.kartawya.com, any associated mobile application, digital interfaces, communication channels, workshops, community forums, investment facilitation modules, and related services (collectively referred to as the "Platform") owned and operated by Kartawya Studio Private Limited, a company incorporated under the Companies Act, 2013 and having its registered office at [Kafloun, Brikhmani, Mandi HP] ("KV", "We", "Us", or "Our").
By accessing, browsing, registering on, or otherwise using the Platform, You ("You" or "Your") acknowledge that You have read, understood, and agreed to be bound by these Terms and all policies incorporated herein by reference, including the Privacy Policy. If You do not agree to these Terms, You are advised not to use the Platform.
KV reserves the right, at its sole discretion, to modify or update these Terms at any time without prior notice. Continued use of the Platform after such changes shall constitute acceptance of the revised Terms.
Kartawya is an investor-first platform designed to provide educational resources, structured onboarding processes, curated startup discovery, community interaction, mentoring opportunities, and facilitation of early-stage startup investments. The Platform may offer tiered access, including learner access, emerging investor access, investor membership, and invite-only community spaces such as the Circle of Trust.
KV operates as a technology-enabled community and facilitation platform and does not operate as a stock exchange recognized by the Securities and Exchange Board of India ("SEBI") under the Securities Contracts (Regulation) Act, 1956, nor does it function as a broker, merchant banker, portfolio manager, or investment advisor unless separately registered under applicable law. Nothing on the Platform shall be construed as investment advice, solicitation, or recommendation.
Access to certain features of the Platform requires registration and creation of an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You represent and warrant that You are at least eighteen (18) years of age and legally competent to enter into binding agreements.
You are solely responsible for maintaining the confidentiality of Your login credentials and for all activities conducted under Your account. Any actions performed through Your account shall be deemed to have been undertaken by You.
KV reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or fail to comply with regulatory requirements.
Certain features of the Platform, including access to investment opportunities, may require additional verification, compliance checks, KYC procedures, and documentation in accordance with applicable laws. You agree to provide all information and documentation necessary to comply with regulatory requirements.
KV reserves the right to restrict, deny, or revoke access to investment opportunities if You fail to meet eligibility criteria or regulatory requirements.
You acknowledge that KV does not guarantee allocation, participation rights, or acceptance into any investment opportunity and that startups may independently determine investor participation.
You acknowledge that investments in startups are speculative, illiquid, and involve a high degree of risk, including the risk of total loss of capital. Startups are subject to operational, financial, regulatory, and market risks, and there can be no assurance of returns, liquidity events, or profitability.
You further acknowledge that KV does not guarantee investment performance, does not provide return assurances, and shall not be liable for any investment losses incurred through the Platform.
All investment decisions are made solely at Your discretion and responsibility.
You agree that You shall not host, display, upload, publish, transmit, update, or share any information that infringes intellectual property rights, violates applicable law, is defamatory, misleading, harmful, obscene, fraudulent, or otherwise unlawful.
You agree to conduct Yourself in a professional and respectful manner in all interactions with other users, startups, mentors, and KV personnel. You shall not engage in harassment, intimidation, impersonation, unlawful solicitation, or dissemination of confidential information.
Discussions and documents shared within private forums, workshops, or invite-only communities shall be treated as confidential unless expressly authorized for public disclosure.
KV reserves the right to monitor communications and remove content that violates these Terms.
The information available on the Platform is provided for informational and educational purposes only and does not constitute legal, tax, financial, or investment advice. Registration on the Platform does not confer any right to subscribe to securities of any startup. Any subscription to securities shall occur only upon express invitation by the relevant startup and in compliance with applicable law.
The Platform does not permit secondary trading of securities, and securities offered through the Platform are not listed on any stock exchange recognized by SEBI.
All content, design elements, software, logos, trademarks, databases, proprietary frameworks, and materials on the Platform are the exclusive property of KV or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal, non-commercial purposes.
You shall not copy, reproduce, distribute, modify, reverse engineer, or create derivative works from any content or software associated with the Platform without prior written consent.
KV uses internally developed and third-party systems to provide access to the Platform. Such systems may encounter technical limitations, interruptions, or disruptions. KV does not guarantee uninterrupted access and shall not be liable for delays, errors, service disruptions, or loss of data arising from system failures or events beyond its reasonable control.
You acknowledge that You may receive confidential information relating to startups, investment terms, other investors, or KV's internal processes. You agree to maintain such information in strict confidence and not disclose it to third parties without authorization, except as required by law.
Your confidentiality obligations shall survive termination of these Terms.
You shall not attempt to gain unauthorized access to the Platform, interfere with system operations, introduce malicious software, or engage in activities that compromise security. KV reserves the right to report violations to appropriate authorities and pursue legal remedies.
You agree to indemnify and hold harmless KV, its directors, officers, employees, affiliates, and agents from any claims, losses, damages, liabilities, penalties, costs, or expenses (including legal fees) arising from Your use of the Platform, violation of these Terms, regulatory non-compliance, fraudulent activity, or infringement of intellectual property rights.
To the fullest extent permitted by law, KV shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from Your use of the Platform, including investment losses, loss of profits, or loss of business opportunities.
The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind.
KV may suspend or terminate Your access to the Platform at its sole discretion for violation of these Terms, regulatory reasons, security concerns, or misuse of services. Upon termination, Your rights to use the Platform shall cease immediately, and certain provisions including confidentiality, indemnity, and dispute resolution shall survive.
These Terms shall be governed by the laws of India. Any dispute arising out of or relating to these Terms shall first be resolved through good faith negotiations. If unresolved, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. The venue of arbitration shall be Chandigarh, India, and the proceedings shall be conducted in English.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between You and KV regarding use of the Platform and supersede all prior understandings. KV may assign its rights and obligations under these Terms as part of restructuring, merger, or business transfer.
